Responsibilities:
- Provide legal advice to management team
- Review and sign off all legal related documents including policies, memo, etc…
- Liaise and/or in charge of legal issue with stakeholders
- Working with relevant team to advice management team on the legal, governance, accounting, tax, etc… implications of proposed policies
- Monitoring changes in relevant legislation and the regulatory environment and ensuring the management are well informed and taking appropriate action
- Company Secretary
- Organizing, preparing, and taking minutes of management, board, and committee meetings and annual general meetings (AGMs) and ensuring the minutes are signed by the Chair once they have been approved
- Maintaining a list of registered shareholders, directors, and other board committee members
- Dealing with correspondence, collating information, and writing reports and ensuring decisions made are communicated to the relevant stakeholders
- Liaising with governmental institutions regarding changes to the company status for registration and other legal issues
- Liaising with external regulators and advisers, such as lawyers and auditors
- Ensuring appropriateness of all policies, guidelines, procedures, and other documents approved by CEO and/or the board
- Collecting and summarizing the feedback from staff for CEO review
Requirement:
- Bachelor’s Degree in law or a related field
- Knowledge of banking and financial institution laws, company laws, and other relevant laws for microfinance institution is required.
- At least 2 years of experience in field. Experience in bank/MFIs is prefer
- Honesty and excellent interpersonal skills
- Very strong communication skills in English and Khmer (written and spoken)
- Strong computer skills
- High motivation to perform tasks without supervision and ability to work within a team
Working Hour: 8:00am-5:00pm
